306) Bevollmächtigung gemäß § 28 UG (sinngemäß zu § 10d Abs 3 und 4 Geschäftsordnung des Rektorats) für die ABC Research GmbH

Gemäß § 1 Abs 2 der Richtlinie des Rektorats für die Bevollmächtigung von Arbeitnehmerinnen und Arbeitnehmern der Wirtschaftsuniversität Wien gemäß § 28 Universitätsgesetz 2002 in der geltenden Fassung erteilt die Rektorin folgende Bevollmächtigung:

1. Herr o.Univ.Prof. Mag.Dr.rer.soc.oec. Alfred Taudes wird ab 13.09.2021 bis auf Widerruf bevollmächtigt, die Wirtschaftsuniversität Wien als Gesellschafterin der ABC Research GmbH, registriert zu FN 520091s im Firmenbuch des Handelsgerichts Wien, in Generalversammlungen und bei schriftlichen Beschlussfassungen der Gesellschafter zu vertreten und in den Generalversammlungen und bei den schriftlichen Beschlussfassungen sämtliche Gesellschafterrechte für die Wirtschaftsuniversität Wien, insbesondere das Stimmrecht, auszuüben, all dies unter Beachtung der unten in Punkt 3 genannten Beschränkungen.

2. Ferner wird Herr o.Univ.Prof. Mag.Dr.rer.soc.oec. Alfred Taudes ab 13.09.2021 bis auf Widerruf bevollmächtigt, die Wirtschaftsuniversität Wien im strategischen Beirat der ABC Research GmbH zu vertreten und dort das Stimmrecht für die Wirtschaftsuniversität Wien auszuüben.

3. Ferner wird Herr o.Univ.Prof. Mag.Dr.rer.soc.oec. Alfred Taudes ab 13.09.2021 bis auf Widerruf bevollmächtigt, die Wirtschaftsuniversität Wien in den Quartalsmeetings der ABC Research GmbH zu vertreten und dort das Stimmrecht für die Wirtschaftsuniversität Wien auszuüben.

4. Inhaltliche Beschränkung der Vollmacht:

4.1 In wirtschaftlichen Angelegenheiten gem § 22 Abs 6 UG und § 4 Abs 2 der GO und/oder beim Eingehen von Verbindlichkeiten namens der Wirtschaftsuniversität Wien, die über die laufende Geschäftstätigkeit der Wirtschaftsuniversität Wien hinausgehen, ist diese Vollmacht nur wirksam, wenn vorweg die schriftliche Zustimmung (per Email reicht aus) der beiden nach § 10d Abs 2 Satz 1 GO zuständigen Rektoratsmitglieder oder wenn ein einzelnes Rektoratsmitglied gemäß § 10d Abs 2 Satz 2 GO betraut wurde der beiden nach § 10d Abs 4 GO zuständigen Rektoratsmitglieder eingeholt wurde.

4.2 Zusätzlich ist in Fällen gemäß § 15 Abs 4 iVm § 21 Abs 1 Z 12 UG (Verbindlichkeiten, die über die laufende Geschäftstätigkeit der Wirtschaftsuniversität Wien hinausgehen) diese Vollmacht nur wirksam, wenn vor der Begründung von Verbindlichkeiten die Zustimmung des Universitätsrats eingeholt wurde, und in Fällen gemäß § 15 Abs 4a UG (Eingehen von Haftungen oder Aufnahme von Krediten ab einer Betragsgrenze von 10 Millionen Euro) darüber hinaus die Zustimmung der zuständigen Bundesministerin/des zuständigen Bundesministers eingeholt wurde.

4.3 Zustimmungserklärungen iSd Z 1. und 2. sind von der/vom Bevollmächtigen bei Ausübung der Vollmacht offen zu legen.
