“Hosted AI Data” License Parameter

“AI” means a data processing or machine-based technology that is designed to operate with varying levels of autonomy, may exhibit adaptiveness after deployment, and, for explicit or implicit objectives, infers, from the input it receives, how to generate outputs, or any other technologies commonly referred to or described as automated decision-making, artificial intelligence, language models, natural language processing, or machine learning, with substantially similar functionality to any of the foregoing, or that perform functions normally associated with human intelligence.

“AI Tool” means an electronic machine, device, tool, system, or other technology that uses or incorporates AI.

“Output” means any output or result generated, derived from, produced, delivered, or made available by an AI Tool.

“Train” means train, fine tune, develop, or otherwise modify.

“Transformed Data” means content that is informed by Information, but that through transformation, significant modification, or other means (a) cannot be reverse engineered to produce or determine the Information, (b) cannot be recognized as Information, (c) cannot serve as a substitute for the Information and/or any portion thereof; and (d) has its own inherent value separate and apart

AI Use. For any Information with the “Hosted AI Data” License Parameter, Moody’s will make the Information available to Client for use with AI Tools, and Client may apply AI processes to the Information, solely for Client’s internal use, within the License Parameters and other limitations in this Order Form and the Agreement, provided that (a) Client uses a private instance of an AI Tool in Client’s environment, (b) the Information is inaccessible by any third party, including the provider of the AI Tool, (c) the use is not an “unacceptable” (prohibited) or “high-risk” use as defined in the European Union’s Artificial Intelligence Act or a similar use under similar legislation and regulations, as applicable, (d) the Information is not used to Train an AI Tool that is a language model, whether a large language model (LLM), small language model (SLM), or otherwise, and (e) Client will only use the Information with AI for purposes of retrieval or reference for a specific prompt, query, or similar action by such AI Tools. For Output generated by an AI Tool in connection with Information, Client (i) may distribute to third parties Output that contains Transformed Data but no Information (except as otherwise permitted by the Order Form), provided that such distribution shall not compete with any of the products or services of Moody’s or any Moody’s Affiliate, and (ii) will use any other Output on an internal basis only (and, for clarity, subject to the Order Form) and will not share such Output with any third party. Client may not cite or reference Moody’s in connection with any external use of Transformed Data.

No Other AI Uses. Except as explicitly set forth in this Order Form, Client will not, and will not permit any third party to, use any Information in connection with any AI; provided further that, notwithstanding anything herein to the contrary, Client will not, and will not permit any third party to, use any Information for Training of any AI Tools. Client is responsible and liable for the acts and omissions of any third party that Client permits or allows to access the Information as if such third party were a party to this Order Form and bound by the obligations and restrictions related to AI.

Indemnification. Client will indemnify, defend and hold Moody’s, its Affiliates and its and their employees, representatives, agents, owners, partners, members, licensors, third-party contractors, successors, and assigns harmless from any damages, fines, liabilities, and losses incurred as a result of a third-party claim related to Client’s external use of any Output or Transformed Data under a “Hosted AI Data” License Parameter.
